Agreement to Terms

If you are using the Service on behalf of an organization, you are agreeing to these Terms for that organization and representing that you have the authority to bind that organization to these Terms.

ModusOp is a project management and business operations platform that provides tools for task management, time tracking, client management, invoicing, SEO analytics, and other business productivity features. The specific features available to you depend on your subscription plan and any add-on modules you have enabled.

Account Registration

To use the Service, you must create an account. You agree to:

Maintain the security of your account credentials
Promptly update your account information if it changes
Accept responsibility for all activities that occur under your account
Notify us immediately of any unauthorized access or security breach

Payment Terms

If you subscribe to a paid plan or add-on modules:

You agree to pay all fees associated with your subscription
Fees are billed in advance on a monthly or annual basis
All payments are non-refundable unless otherwise specified
We may change our pricing with 30 days' notice
Failure to pay may result in suspension or termination of service

Your Data

You retain ownership of all data you submit to the Service ("Your Data"). By using the Service, you grant us a license to use Your Data solely to provide and improve the Service.

You are responsible for maintaining backups of Your Data. While we take reasonable precautions to protect your data, we are not liable for any loss of data.

Intellectual Property

The Service, including its original content, features, and functionality, is owned by ModusOp and is protected by international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MODUSOP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE.

Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will cease immediately. You may export Your Data prior to termination. After termination, we may delete Your Data in accordance with our data retention policies.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Australia, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Victoria, Australia.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after any changes constitutes acceptance of the new Terms.
